Business Entity Name ("Client") hereby appoints Allies Commercial Realty, LLC ("Agent") as its exclusive broker for a period of One (1) year from the date of hereof to negotiate the lease/purchase of a commercial property.

It is understood that Allies Commercial Realty, LLC will provide to us the following services:

1. Complete review of all possible alternatives, either by physical introduction or by written form, in the market including our existing location.

2. Complete building analysis of the desired alternatives.

3. Implement, coordinate, review, and analyze the proposals of each desired alternative and present these findings to our real estate committee.

4. Negotiate on our behalf, the terms and conditions of any lease/purchase agreement but at no time will you be authorized to commit to any agreement on our behalf.

We hereby direct all landlords, brokers, and owners to deal directly with Allies Commercial Realty in any dealings for the consideration of our tenancy/ownership and expect Allies Commercial Realty to be remunerated with standard brokerage commissions from the respective landlord/owner with whom we conclude a lease/purchase.

This agreement will be in full force and effective immediately and will continue until the completion of a lease/purchase by our organization, or until (365 days from date of signature), whichever comes first.
